1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Team Thrive LLC ("Team Thrive," "we," "us," or "our") governing your access to and use of our mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old, or be a minor with parental/guardian consent
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

Athletes aged 14-17 may access limited features of the Service only with explicit permission from a parent or guardian who maintains the primary account.

3. Account Registration

To access certain features, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Description of Service

Team Thrive provides a platform for youth sports team management, including:

  • Roster and player information management
  • Team communication and messaging
  • Schedule management and event coordination
  • Payment processing for team dues and fees
  • Athletic performance tracking and statistics
  • Recruiting profile creation and management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

5. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Harass, abuse, or harm other users
  • Post false, misleading, or fraudulent content
  • Impersonate any person or entity
  • Upload viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Scrape, data mine, or collect user information without consent
  • Use the Service to send spam or unsolicited messages
  • Violate any applicable laws or regulations

6. User Content

You retain ownership of content you submit to the Service ("User Content"), including photos, videos, messages, and profile information. By submitting User Content, you grant Team Thrive a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.

You represent and warrant that:

  • You own or have the right to use and share the User Content
  • Your User Content does not infringe any third-party rights
  • Your User Content complies with these Terms and applicable law

We may remove User Content that violates these Terms or is otherwise objectionable at our sole discretion.

7. Payments and Fees

Certain features of the Service may require payment. By using paid features, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing and payment information
  • Authorize us to charge your selected payment method

Payments are processed by Stripe, Inc. Your use of payment features is also subject to Stripe's terms of service.

Team dues and fees collected through the Service are facilitated on behalf of clubs and organizations. Refund policies for team-related payments are determined by the respective club or organization.

8. Recruiting Portal

The recruiting portal feature allows athletes to create profiles visible to college recruiters. By using this feature:

  • You consent to sharing the selected profile information with recruiters
  • You represent that all information provided is accurate and truthful
  • You understand that Team Thrive does not guarantee recruitment outcomes
  • Parents/guardians must approve recruiting profiles for minor athletes

9. Intellectual Property

The Service and its original content, features, and functionality (excluding User Content) are owned by Team Thrive and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Team Thrive does not warrant the accuracy of statistics, recruiting information, or other content provided by users or third parties.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM THRIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Team Thrive and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

You may terminate your account at any time by contacting us or using account settings. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York, New York, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Team Thrive.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
